			<content:encoded><![CDATA[<p>The Court of Appeals has <a title="Daily Reporter Prior Settlement bars 2nd Lawsuit" href="http://dailyreporter.com/blog/2011/04/21/prior-settlement-bars-second-lawsuit-after-construction-accident/" target="_blank">upheld a Brown County court&#8217;s dismissal of an indemnification suit</a> by Wisconsin Public Service Corp. and Associated Electric &amp; Gas Services Limited against Arby Construction Inc.   The suit arose out of utility strike by Arby on a gas line which subsequently exploded, killing two and injuring several others.   The contract  between Arby and WPSC required Arby to indemnify WPSC and its insurer against certain losses.</p>
<p>Arby, WPSC and its insurer AEGSL were sued by the survivors and the estate of the deceased.   Both WPSC and AEGSL raised the indemnification clause as an affirmative defense.   Prior to trial, the parties settled the case where Arby, WPSC and AEGSL paid sums to the injured and the deceased&#8217;s estate.   The settlement specifically stated that certain claims were dismissed without prejudice, including claims WPSC had against Arby and its insurers.  It also stated that all other claims were dismissed with prejudice.</p>
<p>Immediately after the settlement WPSC and AEGSL sued Arby for indemnification under the contract.   Arby sought to dismiss the AEGSL claim on the issue of claims preclusion, arguing that since AEGSL was not one of the specifically identified cross claims that were dismissed without prejudice, it was dismissed as part of the settlement.   The Court of Appeals agreed with Arby, holding that the indemnification claim was substantively the same claim as the cross claims for indemnification in the original suit.   You can view the <a title="WI Court of Appeals WPSC &amp; AEGSL vs. Arby" href="http://www.wicourts.gov/ca/opinion/DisplayDocument.html?content=html&amp;seqNo=63042" target="_blank">court&#8217;s decision here</a>.</p>

			<content:encoded><![CDATA[<p>I <a title="Lawcrosse Roni Deutch pennies on the dollar" href="http://lawcrosse.wordpress.com/2010/08/25/can-roni-deutch-settle-with-the-california-ag-for-pennies-on-the-dollar/" target="_blank">posted earlier</a> that the California Attorney General was seeking civil penalties against the &#8220;Tax Lady&#8221; Roni Deutch.  Things have gone <a title="ABA Journal Cali AG seeks to jail Tax Lady" href="http://www.abajournal.com/news/article/calif._ag_says_tax_lady_attorney_should_be_jailed_for_shredding_documents/?utm_source=feedburner&amp;utm_medium=feed&amp;utm_campaign=ABA+Journal+Daily+News&amp;utm_content=Netvibes" target="_blank">from bad to worse</a> for the &#8220;Tax Lady&#8221;.   Now the AG is seeking to have Deutch jailed for contempt of court for allegedly shredding up to 2.7 million documents and failing to pay back clients refunds of $435,000.   The AG is also seeking to seize Deutch&#8217;s assets and have the court appoint a receiver for her law firm.</p>

			<content:encoded><![CDATA[<p>As expected, President Obama <a title="BW 1099 law repealed" href="http://www.businessweek.com/news/2011-04-14/obama-signs-law-repealing-business-tax-reporting-mandate-1-.html" target="_blank">signed a law repealing </a>the Health-care Reform Law&#8217;s 1099 reporting requirements.  As I have written about in the past, <a title="Lawcrosse  looming 1099 explosion" href="http://lawcrosse.wordpress.com/2010/06/03/the-looming-1099-explosion-in-the-health-care-bill/" target="_blank">here</a> and <a title="Lawcrosse congress passes 1099 repeal" href="http://lawcrosse.wordpress.com/2010/12/16/tax-compromise-survives-challenges-from-left-and-right-in-senate/" target="_blank">here</a>, the 1099 rule was going to significantly expand the reporting requirements by not longer exempting corporations.   After several false starts, its good to see congress finally get it together and get something done about a law that <a title="Lawcrosse movement against 1099 law" href="http://lawcrosse.wordpress.com/2010/08/03/movement-against-the-health-care-laws-1099-requirements/" target="_blank">apparently nobody liked</a>.</p>

			<content:encoded><![CDATA[<p>The new Federal Reserve rules regulating mortgage broker commissions <a title="NYT Business - New broker rules in effect" href="http://www.nytimes.com/2011/04/17/realestate/17mort.html?partner=rss&amp;emc=rss" target="_blank">went into effect on April 1</a>, 2011.  The <a title="Fed Reserve Reg Z new broker rules" href="http://www.gpo.gov/fdsys/pkg/FR-2010-09-24/pdf/2010-22161.pdf" target="_blank">new rules</a> prohibit mortgage brokers from receiving commissions from both the borrower and the lender in the same transaction.  Brokers in the past used to receive compensation from both lenders, in the form of origination fees, and bank, most notably the yield spread premium.   The yield spread premium compensated the broker based on the interest rate the bank was borrowing at and the higher rate of the loan sold to the borrower.   This type of compensation scheme caused an inherent conflict of interest for brokers, who should have been working to get their clients the lowest rate loan available.  However, because the broker would make a higher commission for a riskier, higher interest rate loan, many unscrupulous brokers are alleged to have steered lenders into higher interest loans.</p>
<p>Then new rules eliminate the yield spread, prohibiting mortgage brokers&#8217; compensation from being based on anything other than the size of the loan.  Many independent brokers are now complaining that the new compensation scheme will diminish their pay and lead to more expensive loans.   They also claim the new rules favor big banks over the typically smaller, and independent mortgage brokers.   While I&#8217;m sure many brokers were ethical and procured the best loans available for their clients, the abuse of the system was so wide-spread that I think the new rules were necessary.  The new rules will be <a title="Inman News brokers challenge new Fed rules" href="http://www.inman.com/news/2011/03/10/mortgage-brokers-challenge-new-compensation-rules" target="_blank">subject to legal challenges</a> and it will be interesting to see if they hold up in court.</p>

			<content:encoded><![CDATA[<p>The ongoing budget woes in Wisconsin has <a title="JS Online Proof &amp; Hearsay legal services budget hit" href="http://www.jsonline.com/blogs/news/119482244.html" target="_blank">claimed Legal Services as one if its victims</a>.   The entire $2.6 million budget for indigent civil legal assistance is getting the axe, about half of which funds the valuable services of <a title="Legal Action of Wisconsin" href="http://www.legalaction.org/" target="_blank">Legal Action of Wisconsin</a>.   In response, Legal Action has indicated that it will eliminate 21 staff positions.   This move will impact up to 3200 Legal Service clients.</p>
<p>I find this move extremely short-sighted.   First, the funding came from the $21.50 court filing fee which was dedicated to legal service issues such as this and CCAP funding.    Now that money is going to slosh around the pot of the general budget.   Second, this move will probably end up costing the courts much more money in the long run.  Having seen Pro-Se litigants in action, it is surprising how much longer and more difficult the case becomes.   This will lead to greater backlogs in the court system and deny a significant swath of low-income people the help they desperately need.</p>

			<content:encoded><![CDATA[<p>A story by Richard Eskow <a title="Huffington Post By the Time you Read This" href="http://www.huffingtonpost.com/rj-eskow/by-the-time-you-read-this_b_842902.html?ir=Politics">shows the magnitude</a> of the foreclosure crisis by the numbers.  The statistics the article points out are staggering to think about.   Right now, homeowners will pay over 250 billion dollars in payments this year for underwater homes; which amounts to essentially payments for nothing.   Meanwhile, the banks will reap over 30% of the entire nations profits during this time.   The argument for not allowing reductions on principal has been that it would harm investors, but it seems that the greater harm is to the nation&#8217;s economy by draining billions of dollars from the economy to pay for nothing other than bank profits and bonuses.   While U.S. corporations sit on $2 trillion dollars of case, millions of homeowners cannot contribute to the consumer spending which accounts for 70% of our GDP.</p>
<p>The frustrating thing is that principle modifications would help the investors.   I cannot tell you how many times I proposed a reasonable offer which did not even reduce the principal to a bank, only to have them foreclose instead.  And immediately after foreclosing, the bank markets the property for 60% or less of what the loan value was.   Even shaving a modest 15 to 20% off the original loan would have allowed many homeowners to continue to stay in the homes and make payments which were within their budgets.   However, the bank and loan servicers would not be able to collect additional fees with such an arrangement, so regardless of whether it is in the interests of both the home owner, the investors and society at large; the bank will refuse to negotiate.   Now, even the modest relief afforded by the HAMP program has been withdrawn from homeowners.  As long as the housing crisis forces people to pay for nothing, and leads to more foreclosures and walk-aways, the economy will not significantly recover.</p>

			<content:encoded><![CDATA[<p>Minnesota Attorney General Lori Swanson is <a title="NYT Minn AG preparing suit against Encore Capital Group" href="http://www.nytimes.com/2011/03/29/business/29collect.html?partner=rss&amp;emc=rss">preparing a lawsuit against</a> third-party debt collector Encore Capital Group.   The basis for the lawsuit is the alleged practice of using &#8220;robo-signers&#8221; who filed false affidavits in lawsuits to collect debts.  The Attorney General is waiting to see if a judge who approved a class action against the company in Ohio will allow governments to file separate suits against Encore.  The Minnesota AG is also looking at a half-dozen other third-party debt collection companies with similar complaints.</p>

			<content:encoded><![CDATA[<p>There are reports that the <a title="Yahoo/AP Riots in Tunisia" href="http://news.yahoo.com/s/ap/20110111/ap_on_hi_te/af_tunisia_riots_4" target="_blank">riots in Tunisia</a> are in part, being coordinated through Facebook.  See my earlier posts regarding <a title="lawcrosse flashmobs" href="http://lawcrosse.com/2010/09/24/the-power-of-social-media-flash-mobs-and-civil-disobedience/" target="_blank">flashmobs</a> and civil disobedience.  The Tunisian riots underlying cause seems to be high fuel and food prices.  However, the spark of the riots seems to be the immolation of Mohamed Bouazizi, a 26-year-old university graduate.  He set himself on fire after the police confiscated the fruits he was selling in Sidi Bouzid.  In <a title="lawcrosse on Gladwell, twitter and social change" href="http://lawcrosse.com/2010/10/02/on-gladwell-twitter-and-social-change/" target="_blank">my response to Malcom Gladwell&#8217;s</a> critique of social media as a social driving force, I pointed out that social media often amplifies the outrage over critical events and facilitates mass civil disobedience, in spite of the &#8220;shallow connections&#8221; found in social media.   It appears that again in Tunisia, this theory is being proven on the streets.  On another point, because of the reach of social media, what may have started as a small, regional protest can now explode over an entire country in real-time, allowing the authorities much less time to tamp down the protests.   What will be most telling is the Tunisian governments response, will they ban or restrict social media?   A crackdown will illustrate governments uneasy relationship with social media and the power of social media to affect political change.</p>

			<content:encoded><![CDATA[<p>As we discussed <a title="Lawcrosse the end of RAL as we know them" href="http://lawcrosse.com/2010/08/07/new-irs-rules-may-end-tax-refund-anticipation-loans-as-we-know-them/" target="_blank">back in August</a>, the Internal Revenue Service&#8217;s policy of no longer sharing a taxpayers &#8220;debt indicator&#8221; was expected to essentially end refund anticipation loans.  This is apparently the case as H&amp;R Block has announced <a title="Don't Mess With Taxes H&amp;R Block ends tax refund loan program" href="http://dontmesswithtaxes.typepad.com/dont_mess_with_taxes/2010/12/hr-block-ends-tax-refund-loan-program.html" target="_blank">they will not be offering</a> tax refund anticipation loans.   The bank that funded H&amp;R Block&#8217;s refund anticipation loans, HSBC Holdings PLC discontinued the practice on <a title="Accounting Today Govt. Orders HSBC to halt funding RALs for H&amp;R Block" href="http://www.accountingtoday.com/news/Government-Orders-HSBC-Halt-RALs-HR-Block-56717-1.html" target="_blank">advice from its banking supervisory agency</a>, the Office of the Comptroller of the Currency.   H&amp;R Block will continue to offer Refund Anticipation Checks and has <a title="H&amp;R Block HSBC press release" href="http://www.hrblock.com/press/Article.jsp?articleid=49252" target="_blank">announced several other products</a> they are developing.  With such a major player as H&amp;R Block dropping refund anticipation loans it is likely that we have seen the end of the widespread use of the product.</p>
